About the Round-Up Tracker
The Reverse-Split Round-Up Tracker lists upcoming and recent US reverse stock splits and what each company says about fractional shares, quoted from its own SEC filings.
Sources
- SEC EDGAR full-text search: 8-K, 6-K and DEF 14A filings and their exhibits (company press releases are usually filed as Exhibit 99.1).
- The filing documents on sec.gov, linked from every row.
- Broker help pages and public forum posts, for the brokers page only.
Methodology
- Window: filings from the last 60 days are searched on each update. Rows found earlier are kept.
- Ratio: taken from phrases like "1-for-20", "one-for-twenty", "20-for-1" or "every 20 shares ... consolidated into one". Authorized ranges ("1-for-2 to 1-for-10") are ignored. If filings disagree, the most recent filing wins and the row is annotated.
- Date: a date counts only when it appears close to "effective", "take effect" or "split-adjusted / post-split trading" language, and falls between 10 days before and 150 days after the filing date. Otherwise it is "unclear" and the row moves to unconfirmed mentions.
- Treatment: sentences about fractional shares are matched against round-up language ("rounded up", "receive one whole share") and cash language ("cash in lieu", "cash payment"), with negations ("no cash will be paid") handled. Mixed, conditional or missing language is labeled unclear.
- Grouping: filings are grouped by company (SEC CIK). The quote shown comes from the clearest document, preferring press releases.
- Upcoming vs. past: based on the extracted date compared with the update date.
Known limitations
- Automated extraction makes mistakes, for example splits with different ratios per share class, notices that restate older splits, or unusual wording.
- Splits announced only outside EDGAR (e.g. a press release not filed with the SEC) are missed.
- Full-text search only covers recent filings and can lag by a few hours or days.
- The company's statement is what is shown. Your broker's handling can differ.
